These terms govern the sale of goods by Exel Prod Distribution Inc., registered in Ontario, Canada, through exelprod-6hx.pages.dev. By placing an order you accept them.
Adding an item to your cart is not a contract. Placing an order is an offer to buy. The contract forms when we send a dispatch confirmation, not when you receive an order acknowledgement.
We may decline an order, including where an item is mispriced, out of stock, or where we believe it is intended for resale in a way that conflicts with a supply agreement we hold with the manufacturer. If we decline, we refund in full.
All prices are in CAD and are the manufacturer's recommended retail price. Prices exclude taxes, which are calculated at checkout based on your delivery address, and exclude delivery unless the order qualifies for free shipping.
We price at MSRP and do not discount below it. Several of the makers we represent operate minimum advertised price policies, and holding those prices is a condition of supply. It is also what keeps the channel viable for everyone in it.
Prices can change without notice. The price that applies is the price displayed when you place your order. If an item is listed at an obviously incorrect price, we will contact you before dispatch rather than silently cancelling.
Payment is taken in full at the time of order unless you hold an approved credit account. Business accounts on agreed terms are due 30 days from invoice date. Overdue balances accrue interest at 2% per month, and we may suspend an account that is more than 60 days overdue.
Delivery times are estimates, not guarantees. Risk in the goods passes to you on delivery. Title passes when we receive payment in full.

Our returns policy forms part of these terms. Nothing in it limits your statutory rights in respect of goods that are faulty, not as described or not fit for purpose.
Goods carry the manufacturer's warranty, administered by us on your behalf. Details and limitations are on the warranty page and on each product page.
Warranty does not cover normal wear, consumables, corrosion, or damage from using a tool outside its stated capacity. Where a product page states a specific exclusion. For example that a single-bevel plastic nipper must not be used on metal. That exclusion applies.
Specifications are published as supplied by the manufacturer and are believed accurate at the time of publication. Makers change specifications without notice. Where a specification is critical to your application, confirm it with us in writing before ordering and we will verify it against the current data sheet.
Product images include technical illustrations that represent the tool type rather than the exact item. Dimensions and finish are as stated in the specification table, which takes precedence over any image.
The goods we sell are professional hand tools. Many have edges sharp enough to cause serious injury. You are responsible for using them competently, with appropriate protective equipment, and for keeping them away from anyone not competent to use them.
We are not liable for injury or damage arising from misuse, from using a tool outside its stated purpose, or from modification of a tool.
Our total liability in connection with any order is limited to the price paid for the goods in that order. We are not liable for indirect or consequential loss, including loss of profit, loss of contract, or the cost of workshop downtime.
Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
All trade marks, brand names and logos referenced on this site are the property of their respective owners. Their appearance here identifies the goods we supply and does not imply any endorsement of Exel Prod beyond the dealer relationships expressly stated on our brands page.

These terms are governed by the laws of Ontario, Canada, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
